Welcome to Armor Wallet (including all of our affiliates, “Armor Wallet”, “we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of our website, services, applications, and features—including our private terminal available at app.armorwallet.ai and on various social platforms (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
WHEN YOU AGREE TO THESE TERMS, YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND US THROUGH BINDING ARBITRATION RATHER THAN IN COURT AND TO A CLASS ACTION WAIVER. PLEASE REVIEW CAREFULLY SECTIONS 15 BELOW FOR DETAILS REGARDING ARBITRATION. HOWEVER, IF YOU ARE A RESIDENT OF A JURISDICTION WHERE APPLICABLE LAW PROHIBITS ARBITRATION OF DISPUTES, THE AGREEMENT TO ARBITRATE IN SECTION 14 WILL NOT APPLY TO YOU BUT THE PROVISIONS OF SECTION 15 (GOVERNING LAW AND JURISDICTION) WILL APPLY INSTEAD.
Will these Terms ever change?
We are constantly improving our Services, so these Terms may change accordingly. We reserve the right to change the Terms at any time. If we do, we will place a notice on our site located at www.armorwallet.ai, send you an email, and/or notify you by some other means.
If you don’t agree with the new Terms, you are free to reject them. You will no longer be able to use the Services, but you will be able to export data. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes.
Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by both you and us.Armorwallet.ai site is operated by Armor Wallet("we", “us” or “Armor”). By using our site or our services, you understand that your Personal Data may be processed by one or more subsidiaries of the Armor Wallet.
1. Who We Are
Armor Wallet is an AI-driven platform that leverages advanced technology to securely create digital wallets and facilitate blockchain transactions, including trading and transferring digital assets. For any inquiries or support, please contact us at legal@armorwallet.ai.
2. Acceptance of Terms
By using our Services, you represent and warrant that you have read, understood, and agree to these Terms, as well as any additional policies or guidelines incorporated herein by reference. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Additional Service-Specific Terms
Certain features or services offered through Armor Wallet may be subject to additional terms, policies, or guidelines. Any such additional terms are incorporated by reference into these Terms and will be provided to you prior to or at the time of your use of those specific features.
4. Registration and Account Security
a. Eligibility
You must be at least 18 years old to use our Services. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
b. Account Registration
To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
c. Security
You are solely responsible for safeguarding your account information. Please notify us immediately if you suspect any unauthorized access or use of your account. We will not be liable for any loss resulting from your failure to protect your account information.
5. Using Our Services
a. Overview
Armor Wallet provides you with the tools to create and manage a digital wallet through account abstraction, smart contracts, and 3rd party providers to perform blockchain transactions such as trading and transferring assets via our private terminal and social platforms.
Our Services utilize artificial intelligence and natural language processing to interpret user commands and execute transactions (“Generative AI”). You understand and acknowledge that Generative AI is a developing technology; the potential risks inherent to this technology may not be fully understood, and some safeguards may not be fully developed. We disclaim all liability resulting from your use of the Services, and make no representation or warranty, express or implied, concerning the extent to which your use of the Services or the output of such Generative AI is appropriate, permissible, lawful, accurate, correct, or otherwise suitable for you or its intended use.
The underlying Generative AI technology may, in some cases, provide incorrect, inaccurate, or otherwise inappropriate information or services. If you do not agree with this assumption of risk, you should not use the Services.
b. Wallet Creation and Management
• Third-Party Integration: When you create a digital wallet through our Services, the wallet is established using a 3rd party secure infrastructure. By using our Services, you acknowledge and agree to review and comply with these terms and privacy policies.
• Your Responsibility: You are solely responsible for managing your digital wallet, including keeping your wallet credentials secure and ensuring that any backup procedures recommended by Armor Wallet are followed.
c. Blockchain Transactions
• Irreversibility: Transactions executed on the blockchain through our Services are final and irreversible. You must carefully verify all instructions to Armor Wallet before submitting them.
• Risk Acknowledgment: You understand that blockchain technology carries inherent risks—including volatility, potential loss of funds, and network delays—and you agree that Armor Wallet is not responsible for any loss or damage arising from these risks.
d. Transaction Instructions
You are responsible for providing correct and complete instructions for any blockchain transaction. Armor Wallet will execute transactions as instructed, but we are not liable for any errors or losses resulting from inaccurate or incomplete instructions.
e. No Professional Advice
All information provided by the Services is for informational purposes only and should not be construed as professional advice. You should not take, or refrain from taking, any action based on any information contained in the Services. Before you make any financial, legal, or other decisions involving the Services, you should seek independent professional advice from an individual who is licensed and qualified in the area for which such advice would be appropriate.
f. No Fiduciary Duties
These Terms are not intended to, and do not, create or impose any fiduciary duties on us. To the fullest extent permitted by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated. You further agree that the only duties and obligations that we owe you are those set out expressly in these Terms.
g. Release
We are not a party to any transaction or other interaction occurring on the underlying blockchain protocols. If you have a dispute with any transaction counterparty, you agree to address such dispute directly with such counterparty. If permitted in your jurisdiction, you release us (and our officers, directors, agents, investors, subsidiaries, employees, and advisors) (collectively “Releasees”) from, and covenant not to sue Releasees for, any and all claims, demands, or damages (actual or consequential) of any kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such dispute.
h. Regulatory and Compliance Suspensions or Terminations.
We may suspend or terminate your access to the Services at any time as required by applicable law, any governmental authority, or if we, in our sole and reasonable discretion, determine you are violating these Terms or the terms of any third-party service provider. Such suspension or termination shall not constitute a breach of these Terms by us.
i. Ownership and Control of Assets
The Services are purely non-custodial, meaning you are solely responsible for the custody of the cryptographic private keys to the digital asset wallets you hold. Title to your digital assets shall at all times remain with you and shall not transfer to us. As the owner of your own cryptocurrency, you shall bear all risk related to the digital assets in your wallet(s). We will have no liability for value fluctuations of digital assets.
j. Trading Activities and Other Transactions
All of the code used in the Services is novel and experimental. Please use discretion when depositing funds. While we have thoroughly reviewed our code, we are not liable for funds lost due to code or smart contract exploits or hacks. Moreover, digital assets displayed using the Services are exposed to market fluctuations. Your capital might change due to price action and other external factors. Take note that price fluctuations also cause “impermanent loss” when dealing with liquidity pools. A transaction may fail for several reasons, including, without limitation, a change in prices, order availability, or technical difficulties experienced by us, decentralized finance counterparties, or underlying blockchain nodes. We make no representation or warranty that any transaction will be executed fully, or at all. We are, under no circumstances, liable for any loss or injury suffered by a failure of a transaction to complete properly or in a timely manner, including dispatching to the underlying blockchain. Further, we are in no way responsible for notifying you of a transaction failure. You have full responsibility to determine and inquire into the failure of any transaction that you initiate. WE MAY REMOVE A DIGITAL ASSET FROM TRADING ON THE SERVICES AT ANY TIME, FOR ANY REASON, WITHOUT PRIOR NOTICE. You acknowledge that while we are using commercially reasonable methods to provide trading functionality to you through our Services, we do not guarantee that the Services will be consistently available. You agree that you assume all risks and potential losses associated with any digital asset being removed, price fluctuations, or differences in actual versus indicated prices. We operate as an application provider and do not act as principal or counterparty with respect to any transactions entered using the Services. Strategies will generally involve the use of other decentralized finance platforms. This will add a layer of counterparty risk. You agree and understand that: (a) all trades you submit through our Services are considered unsolicited, which means that they are solely initiated by you; (b) you have not received any investment advice from us in connection with any trades; and (c) we do not conduct a suitability review of any trades you submit. You acknowledge and agree that we do not broker trading orders on your behalf, negotiate terms for any transaction, make investment recommendations, arrange financing, hold customer funds, process trade documentation, or conduct independent asset valuations in connection with providing the Services. We also do not facilitate the execution or settlement of your trades, which occur entirely on the applicable underlying blockchain. As a result, we do not (and cannot) guarantee market best pricing or best execution through the Services. Any references using the Services to “best price” do not constitute a representation or warranty about pricing available through the Services or elsewhere.
k. Basics of using Armor Wallet and Armor MCP
Armor Wallet provides its users and developers with functionality to create wallets. A wallet is an intangible medium that secures a set of cryptographic keys enabling you to sign arbitrary messages on behalf of third-party applications, including but not limited to, the signature of blockchain-based transactions to purchase, sell, and control digital assets. One feature of Armor Wallet’s wallet services is to provide users with an embedded wallet (an “Embedded Wallet”) of their own, or the ability to connect their existing, third-party wallets to an app. Armor Wallet also enables third-party developers (its customers) to create and configure wallets in connection with apps or other services offered by such third parties to users (such wallets, “Server Wallets”, “Server Signers” or “Signing Service”). All wallets, including both Embedded Wallets and Server Wallets, are referred to herein as “Wallets.”
You may be required to sign up for an account and select a password. You promise to provide us with accurate, complete, and updated registration information about yourself. You agree that you will not set up an account with the intent to impersonate another person.
When you create a Wallet, entropy is generated. This is a random sequence of phrases, characters, or numbers (“Secret”) that helps create a private key from which a Wallet can be derived. Control over this private key is mediated either by ownership of an approver key (in the case of “server wallets”) or by proving you are its rightful owner (based on authentication through the appropriate services and/or knowledge of a password set to safeguard the key). As a user, Armor Wallet enables you to download your Secret. You are responsible for storing and safeguarding the Secret, any passwords, private keys, recovery phrases and other credentials associated with the use of Wallets (“Credentials”), and you agree to use commercially reasonable efforts to prevent unauthorized access to, or use of, Wallets and all other accounts through the Services. Please note that Armor Wallet does not store any Wallet in any Armor Wallet system, and never has access to your Secret, approver keys, or recovery phrase. You acknowledge that Armor Wallet only provides self-custodial Wallets (whether custodied directly by a user or by a developer), and Armor Wallet does not store or have access to your Wallets, Credentials, or assets contained in Wallets. Accordingly, Armor Wallet cannot assist with retrieving any such Credentials. Signatures for your Wallet can only be generated with you logged into an app, except with respect to Delegated Actions (as defined herein) and certain configurations of Server Wallets. Any unauthorized access to a Wallet could result in the loss or theft of any asset held in the Wallet. If you notice any unauthorized or suspicious activity in Wallet(s) or accounts that are related or linked to the Services, you agree to notify Armor Wallet immediately by emailing us. Armor Wallet is not a custodian of your Wallet or Credentials, and does not have the power to make any transactions on your behalf. Neither Armor Wallet nor its employees will ever ask you for information about your Secret or other details that could be used to take custody of your Wallet. You are responsible for the acts and omissions of any person who accesses an account or Wallet provided through the Services.
Additionally, you may be able to access certain parts or features of the Services by using your account credentials from other services (each, a “Third Party Account”), such as those offered by Google, Twitter, Apple, GitHub, and Discord. By using the Services through a Third Party Account, you permit us to access certain information from such an account for use by the Services. You are in control of how much information is accessible to us, and may exercise this control by adjusting your privacy settings on your Third Party Account.
You represent that you are at least 16 years old. You also represent that you are of legal age to form a binding contract (or if not, you’ve received your parents’ or guardian’s permission to use the Services, and have gotten your parent or guardian to agree to these Terms on your behalf). If you’re agreeing to these Terms on behalf of an organization or entity, you represent that you are authorized to agree to these Terms on that organization’s or entity’s behalf and bind them to these Terms (in which case, the references to “you” and “your” in these Terms, except for in this sentence, refer to that organization or entity).
You will only use the Services for your own internal use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you and in accordance with any documentation provided or made available by Armor Wallet. If your use of the Services is prohibited by applicable laws or not in accordance with these Terms or any documentation provided or made available by Armor Wallet, then you aren’t authorized to use the Services. We can’t and won’t be responsible for your using the Services in a way that breaks the law or is not permitted by these Terms or other documentation.
YOU WILL NOT SHARE YOUR CREDENTIALS OR ARMOR WALLET USER ID WITH ANYONE, AND YOU MUST PROTECT THE SECURITY OF YOUR CREDENTIALS AND ARMOR WALLET USER ID AND ANY OTHER ACCESS TOOLS OR CREDENTIALS. YOU’RE RESPONSIBLE FOR ANY ACTIVITY ASSOCIATED WITH YOUR ARMOR WALLET USER ID AND ACCOUNT.
l. Transactions I sign through Armor Wallet
Wallets will enable you to access third-party applications, including decentralized applications (“DAPP”) and decentralized exchanges (“DEX”), which may allow you to swap or trade digital assets. Armor Wallet is not responsible for your access or use of any DAPP or DEX. Your use of any DAPP or DEX is subject to the terms and conditions of the third-party DAPP or DEX provider, which may include (A) limitations on transaction volumes and (B) handling fees or service fees (which are set by the third-party provider). We do not have the ability to freeze, cancel, or otherwise modify any transaction that you execute through a third-party DAPP or DEX. We do not store, send, or receive digital assets. Any transfer that occurs in relation to any digital asset occurs on the relevant blockchain network, and we cannot guarantee that any transaction will be completed in the manner intended.
Transactions that are associated with your Wallet may require the payment of “gas” or other transaction fees. You are responsible for ensuring that you have adequate funds in your Wallet to complete transactions. You acknowledge and agree that we will not be liable for any failed transactions due to insufficient funds associated with your Wallet.
You agree that you will not use your Wallet to pay for, support, or otherwise engage in any illegal activities, including, but not limited to: purchases or sales of illegal goods or services; fraud; money laundering; or terrorist activities. If we discover that you have violated any applicable laws or regulatory requirements, we reserve all of our rights and remedies under these Terms and at law, and will take all necessary actions against you. The use of your Wallet may be legally prohibited or technically restricted in certain territories and countries. You are solely responsible for determining and complying with all laws, rules, and regulations applicable to you.
m. Delegated Actions and Server Wallets
In some circumstances, you may delegate signing authority for an Embedded Wallet to a third-party developer (a “Delegated Action”). By default, all Embedded Wallets are configured so that the root-of-trust sits with the user, and only the user has control over their private keys; however, through a Delegated Action, you may provide a developer with the ability to sign transactions on your behalf. For example, you may enable Delegated Action functionality to enable automatic or recurring transfers of digital assets from your Embedded Wallet.
Server Wallets provide developers with more control over how Wallets are configured. Server Wallets may be configured by the developer so that the root-of-trust sits, by default, with the developer, the user, another third party, or multiple third parties. In certain cases, users may not interact with, or exercise any direct control over, a Server Wallet. Armor Wallet ensures only the appropriate party or parties, as defined by the developer, can control the Server Wallet. This means we do not and cannot control how Server Wallets are configured, or who controls approver keys to a Server Wallet. Unlike Embedded Wallets, Server Wallets do not, by default, place the root-of-trust with the user.
Your enablement of Delegated Actions and your use of Server Wallets are subject to the terms and conditions of the applicable developer. In cases where you do not directly interact with, or exercise any control over, a Server Wallet, the developer's terms and conditions will apply to the exclusion of all other terms and conditions, including these Terms. You are responsible for reading and understanding the terms that govern any such Delegated Action or Server Wallet, including how such Delegated Actions or Server Wallets will be implemented and/or configured. Developers, not us, are responsible for providing you with appropriate disclosures and obtaining appropriate consents from you to enable Delegated Actions. If you have any questions or concerns about a Delegated Action, you must contact the relevant developer for assistance. As with any blockchain transaction, we are unable to freeze, cancel, or otherwise modify any transaction initiated through a Delegated Action or a Server Wallet.
n. Who is responsible for what I see and do on the Services
Any information or Content publicly posted or privately transmitted through the Services is the sole responsibility of the person from whom such Content originated, you access all such information and Content at your own risk, and we aren’t liable for any errors or omissions in that information or Content, or for any damages or loss you might suffer in connection with it. We cannot control and have no duty to take any action regarding how you may interpret and use the Content, or what actions you may take as a result of having been exposed to the Content, and you hereby release us from all liability for you having acquired or not acquired Content through the Services. We can’t guarantee the identity of any users with whom you interact when using the Services, and we are not responsible for which users gain access to the Services.
You are responsible for all Content you contribute, in any manner, to the Services, and you represent and warrant you have all rights necessary to do so, in the manner in which you contribute it.
The Services may contain links or connections to, or be provided on, third-party platforms or websites or services that are not owned or controlled by Armor Wallet, including any DAPP or DEX that you use to transact in digital assets or any developer that leverages our Services to provide you with an Embedded Wallet or Server Wallet. When you access third-party websites or platforms or use third-party services, including the websites, platforms, or services provided by any developer, you accept that there are risks in doing so, and that Armor Wallet is not responsible for such risks.
Armor Wallet has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third-party websites or by any third party that you interact with through the Services. In addition, Armor Wallet will not and cannot monitor, verify, censor, or edit the content of any third-party site or service. We encourage you to be aware when you leave the Services and to read the terms and conditions and privacy policy of each third-party website or service that you visit or utilize. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third-party website or service.
Your interactions with organizations and/or individuals found on or through the Services and any other terms, conditions, warranties, or representations associated with such dealings are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. You agree that Armor Wallet shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.
If there is a dispute between participants on this site or Services, or between users and any third party, you agree that Armor Wallet is under no obligation to become involved. In the event that you have a dispute with one or more other users, you release Armor Wallet, its directors, officers, employees, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and/or our Services. You shall and hereby do waive California Civil Code Section 1542 or any similar law of any jurisdiction, which says in substance: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”
o. Restrictions on how I can use the Services
You represent, warrant, and agree that you will not provide or contribute anything, including any Content (as that term is defined below), to the Services, or otherwise use or interact with the Services, in a manner that:
• infringes or violates the intellectual property rights or any other rights of anyone else (including Armor Wallet);
• violates any law or regulation, including, without limitation, any applicable export control laws, anti-money laundering laws, privacy laws, or any other purpose not reasonably intended by Armor Wallet;
• is dangerous, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
jeopardizes the security of your or another user’s Wallets, Credentials, Armor Wallet User ID, or accounts (such as allowing someone else to log in to the Services as you);
• attempts, in any manner, to obtain the Credentials, password, account, or other security information from any other user;
bypasses any measures Armor Wallet may use to prevent or restrict access to the Services (or other accounts, computer systems, or networks connected to the Service);
• violates the security of any computer network, or cracks any passwords or security encryption codes;
runs MailList, Listserv, any form of auto-responder or “spam” on the Services, or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper working of the Services (including by placing an unreasonable load on the Services’ infrastructure);
• “crawls,” “scrapes,” or “spiders” any page, data, or portion of or relating to the Services or Content (through use of manual or automated means);
• copies or stores any significant portion of the Content; or
• decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services.
A violation of any of the foregoing is grounds for termination of your right to use or access the Services.
6. Third Party Services
Our Services may incorporate or link to third-party products, services, or software (collectively, “Third Party Services”). Your use of these third-party services is subject to the respective terms and policies of those providers. Armor Wallet is not responsible for and does not endorse any third-party services, nor shall we be liable for any issues, losses, or damages arising from your use of such services.
7. Fees and Payment
a. Fees
Certain features or transactions conducted through our Services may incur fees (e.g., network fees, service fees). Currently, there is a 1.0% Armor Wallet fee on swaps.
b. Payment Processing
If you purchase any services or features that require payment, you agree to provide complete and accurate payment information. By authorizing payments, you consent to the automatic billing of your chosen payment method for recurring fees (if applicable). You are responsible for all charges incurred in connection with your use of our Services.
c. Taxes
You are responsible for any taxes or duties that may be applicable to your use of our Services. It is your responsibility to determine what, if any, taxes apply to the transactions you make, and to report and remit the correct tax to the appropriate tax authority. We are not responsible for determining whether taxes apply to your transaction, or for collecting, reporting, or remitting any taxes arising from any transaction. We encourage you to speak with your personal tax advisor regarding the tax implications of your use of the Services.
8. User Conduct and Prohibited Activities
When using our Services, you agree to abide by all applicable laws and regulations and to use the Services only for lawful purposes. In particular, you shall not:
• Engage in any fraudulent, deceptive, or unlawful activities.
• Attempt to bypass, disable, or otherwise interfere with any security measures.
• Transact in or facilitate transactions involving illicit or illegal activities.
• Provide false or misleading information in connection with any blockchain transaction.
• Engage in any other activity that Armor Wallet, in its sole discretion, determines may harm the integrity or security of our Services or the rights of others.
• Use, display, mirror, or frame the Services or any individual element within the Services, the Armor Wallet name, any Armor Wallet trademark, logo, or other proprietary information, or the layout and design of any page or form contained on a page, without our express written consent.
Failure to comply with these rules may result in suspension or termination of your account and access to our Services without notice.
9. Export Control and Sanctions
You agree to comply with all applicable export control laws and regulations, including U.S. export control and economic sanctions laws and regulations. In particular, you represent and warrant that:
• You are not located in, under the jurisdiction of, or a national of any country or territory that is subject to U.S. economic sanctions or embargoes.
• You are not listed on any U.S. government list of prohibited or restricted parties.
If you are located in or are a national of a country that is subject to U.S. sanctions, or if you are otherwise prohibited from using our Services under applicable U.S. law, you are not permitted to access or use our Services.
10. Intellectual Property Rights
a. Ownership
All intellectual property rights—including but not limited to trademarks, logos, text, graphics, images, and software—associated with Armor Wallet and our Services are owned exclusively by the Armor Wallet team or its licensors.
b. Limited License
Subject to your compliance with these Terms, Armor Wallet grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal, non-commercial use.
c. Restrictions
You may not copy, modify, distribute, sell, lease, or create derivative works from any content or materials provided through our Services without our explicit written consent.
c. Feedback
Feedback is welcome. If provided, you agree that we can use it without any obligation to compensate you.
11. Disclaimer of Warranties
a. “As Is” Basis
Our Services are provided on an “as is” and “as available” basis without any warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service.
b. No Guarantee of Accuracy or Reliability
Armor Wallet does not warrant that the Services will be error-free, secure, or continuously available. You use the Services at your own risk.
c. Blockchain and Third-Party Risk
You acknowledge that the use of blockchain technology and third-party services involves risks that may be outside our control. Armor Wallet disclaims any liability for losses resulting from such risks.
12. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Armor Wallet, its team, or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or goodwill) arising out of or in connection with your use of the Services—even if advised of the possibility of such damages. In any event, our aggregate liability under these Terms will not exceed the greater of (a) the total fees you paid to Armor Wallet in the 12 months preceding the claim or (b) one hundred dollars ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Armor Wallet and its team, as well as any related parties, from and against any and all claims, liabilities, damages, losses, and expenses—including reasonable attorneys’ fees and costs—arising out of or in any way connected with:
• Your use of the Services.
• Your breach of these Terms.
• Any claim that your conduct or content violates any rights of a third party.
14. Termination and Suspension
a. Termination by You
You may discontinue using our Services at any time. If you choose to terminate your account, you must notify us in writing (e.g., via our support email).
b. Termination by Us
We reserve the right, in our sole discretion, to suspend or terminate your access to our Services without notice if we determine that you have breached these Terms or if your actions are deemed to pose a risk to Armor Wallet, our users, or third parties.
c. Effect of Termination
Upon termination of your account, your right to access and use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination (including Sections 10 through 17) shall remain in effect.
15. Dispute Resolution
a. Informal Resolution
If you have any concerns or disputes regarding these Terms or the Services (“Dispute”), please contact us at legal@armorwallet.ai. We encourage you to first reach out to us to attempt an informal resolution. If the dispute is not resolved within 60 days of your notice, either party may seek resolution as set forth below.
b. Mandatory Arbitration
Except for claims eligible for small claims court or for injunctive relief to prevent unauthorized use of our intellectual property, you and Armor Wallet agree that any Dispute shall be resolved exclusively through final and binding arbitration administered by a recognized arbitration provider (e.g., the BVI International Arbitration Centre) under its applicable rules. The arbitration shall be conducted in the British Virgin Islands, and any award rendered shall be final and binding on the parties.
c. Class Action Waiver
To the fullest extent permitted by law, you and Armor Wallet agree that any arbitration or litigation arising under or related to these Terms will be conducted solely on an individual basis. You hereby waive any right to participate in a class action or class-wide arbitration.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the British Virgin Islands for any actions or disputes arising out of or related to these Terms or your use of our Services, except as provided in Section 15.
17. Changes to These Terms
Armor Wallet reserves the right to modify or update these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on our website or notifying you through other communication channels. Your continued use of our Services after any such changes constitutes your acceptance of the new Terms. If you do not agree with the changes, you must stop using the Services.
18. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
19. Entire Agreement
These Terms, together with any additional terms or policies referenced herein, constitute the entire agreement between you and Armor Wallet regarding your use of the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.
20. Non-Reliance
You acknowledge and agree that in entering into these Terms and using the Services you have not relied and are not relying on any representations, warranties or other statements whatsoever, whether written or oral (from or by us or any person acting on our behalf) other than those expressly set out in these Terms (or other related documents referred to herein) and that you do not have any right or remedy rising out of any representation, warranty or other statement not expressly set out in these Terms.
